Michigan LLC Annual Statement: The “Pay $25 and Don’t Panic” Guide
Michigan: “Congrats on your LLC!”
Also Michigan: “Now come back every year and prove you still exist.”
The good news: this process is mostly search → file → sign → pay → download receipt.
What we were doing (quick refresher)
We were working inside the Michigan LARA MiBusiness Registry portal to keep AI WORKFLOW SOLUTIONS, LLC in Good Standing by filing the yearly LLC Annual Statement.
The portal can look like it wants you to “log in first,” but the twist is that the state moved things around. The site even says the old credentials didn’t transfer. So you can hit errors like:
- Login failed
- Invalid User ID
- Email not registered
Translation: you may need to create a new MiLogin for Business account (or use a different user ID) and then access your entity inside the new portal.
Step 1 — Find your business
Go to the Business Search page and search by:
- Entity name (example: AI WORKFLOW SOLUTIONS, LLC), or
- Entity ID (example: 803353325)
Click the result so the details panel opens on the right.
Step 2 — Where the “slide‑out drawer” is hiding
The “slide‑out drawer” is the right‑side panel that slides in with your entity details. That’s where the action buttons live, like:
- File Subsequent Document
- Request Certificate
- View History & Filings
- Request Access (sometimes)
Step 3 — Create a new account (if the portal doesn’t recognize you)
If the system tells you your email isn’t registered or your user ID is invalid, that usually means you’re not set up in MiLogin for Business yet (or you’re using the wrong email).
- Use the portal’s Create an Account option on the MiLogin for Business page.
- Complete the verification steps (you may see reCAPTCHA / MFA prompts).
- Once created, return to the LARA MiBusiness portal and log in.
Tip: If “Lookup your user ID” says your email isn’t registered, that’s a strong sign you need to create the account in the new system.
Step 4 — Do I have to upload anything?
For a normal Michigan LLC Annual Statement, it’s typically not an upload situation. It’s mostly:
- Confirm/update the info they ask for,
- Check required attestations,
- Sign electronically,
- Pay the fee,
- Download your receipt / filed statement.
If the portal specifically asks for an attachment in a step, then you’d upload something — but for the standard annual statement flow, it usually doesn’t.
Step 5 — Who signs it?
You sign as a person (member/manager/authorized agent), not as “the LLC.” The filing is for the LLC, but the signature is your name.
If “On behalf of” is grayed out, that usually means the system already knows which entity the filing is attached to. In that case:
- Signer Capacity: choose the option that matches your role (often Self / Member / Manager)
- Signature: type your legal name (example: Jason Lord)
- Date: use Today
Step 6 — Payment and proof
You’ll usually see a standard fee (commonly $25 for the LLC Annual Statement) and optional expedited review fees. Most people choose Standard and keep their money for snacks.
After payment, look for:
- Payment Successful
- Download Receipt
- The filed annual statement PDF (often in “Available Downloads”)
Step 7 — Annual report vs annual statement
If you’re an LLC in Michigan, you’re typically filing an Annual Statement. People say “annual report” out of habit. The portal may label it as “Annual Report/Statement,” but don’t let that wording throw you.
The real success check is simple: your due date moves to next year.
